These terms apply to every use of Lisso by a business. Lisso is a service for businesses only, not for consumers. By creating an account or using Lisso, the customer accepts these terms.
1. Definitions
- Lisso: the web application for preparing and managing supplier orders, as offered by Ulixes Consulting.
- Ulixes Consulting, "we", "us": Ulixes Consulting, [to be completed], [to be completed], enterprise number [to be completed].
- The customer: the business that has an agreement with us for the use of Lisso.
- Users: the people the customer gives access to Lisso, such as owners, managers and employees.
- Location: a shop, kitchen or other site of the customer that is set up in Lisso with its own team, suppliers, products and orders.
- Customer data: all data the customer and its users enter into Lisso, such as suppliers, contact persons, products, barcodes and orders.
2. The service
Lisso helps the customer prepare orders for its suppliers. The customer manages suppliers and products per location, adds products to draft orders by scanning a barcode or searching, sees the cut-offs and deliveries of the day, reviews each order and then sends it by email, through WhatsApp or on the supplier's own ordering platform. Lisso keeps the history of each order.
Lisso works in a web browser and needs an internet connection. We may improve and change Lisso over time, as long as the core of the service stays available.
Features that are in development, such as the delivery check, are not part of the service until they are released.
3. Account and users
The customer creates the account and decides who gets access to which location and with which role (owner, manager or employee). The customer is responsible for its users, for the roles it gives them, and for everything that is done under their accounts.
Users keep their login details secret and do not share accounts. We recommend turning on two-factor authentication. If the customer suspects that an account is misused, it changes the password and informs us without delay at [to be completed].
4. The customer's obligations
The customer:
- uses Lisso lawfully and only for its own business;
- does not try to access data of other customers or locations, disrupt the service, or get around its security;
- enters correct supplier data, such as contact details, order days, cut-off times and prices, and keeps it up to date;
- has the right to enter the personal data it puts into Lisso, such as the names and contact details of its suppliers' contact persons.
Lisso prepares orders; the customer sends or confirms them. The customer remains responsible for the orders it sends and checks each order before sending it. We are not a party to the agreement between the customer and its suppliers.
When an order is sent through WhatsApp, an email service or a supplier's platform, that third party's terms also apply.
5. Prices and invoicing
The prices are those in the offer the customer accepted. They are charged per location and are stated excluding VAT.
Invoices are payable within [payment term]. We announce price changes at least [notice period] in advance.
6. Duration and termination
The agreement runs for [term]. Either party can terminate it with a notice period of [notice period].
We may suspend access to Lisso, after a prior warning where reasonably possible, if the customer seriously breaches these terms or does not pay an invoice that is due. If the breach is not remedied, we may terminate the agreement.
7. Customer data
Customer data remains the property of the customer. We use it only to provide Lisso to the customer.
For the personal data in the customer data, the customer is the controller and we are the processor. Our data processing agreement applies and is part of these terms.
After the end of the agreement, we return the customer data on request and delete it within [period], unless the law requires us to keep it longer.
8. Availability and support
We do our best to keep Lisso available and working well. Lisso may be unavailable for maintenance, which we plan outside busy hours where possible. We do not guarantee any particular level of availability.
Questions and problems can be sent to [to be completed].
9. Intellectual property
Lisso, its software, design and content belong to Ulixes Consulting or its licensors. The customer receives a non-exclusive, non-transferable right to use Lisso for its own business for the duration of the agreement. The customer may not copy, resell or reverse-engineer Lisso.
Ideas and suggestions the customer shares with us about Lisso may be used by us freely.
10. Liability
Our total liability towards the customer is limited to [liability cap].
We are not liable for indirect damage, such as lost profit, lost turnover, lost savings, loss of goodwill or claims by third parties. We are not liable for orders that are wrong, late or not received because of incorrect data, an order not checked before sending, or a failure of a third party such as a supplier, WhatsApp, an email service or a supplier's platform.
Nothing in these terms limits or excludes liability for fraud or intentional misconduct, or any other liability that cannot be limited under Belgian law.
11. Changes to these terms
We may change these terms. We announce changes in advance by email or in Lisso, stating the date from which they apply. If the customer does not agree with a change, it can terminate the agreement before that date.
12. Applicable law and courts
These terms are governed by Belgian law. Any dispute falls under the exclusive jurisdiction of the courts of [judicial district].
